If you’re reading this, you may be starting to think about your own exit journey.
Not urgently, perhaps, but seriously.

No two exits are ever the same and it’s vital to be prepared for the journey ahead, to be ‘match fit’ and partnered with the right guidance to support you every step of the way.

In this video Mike and Debbie Jarmey recount their experience of the sale of Mayfield Group – producer / supplier of high-quality decking, which sold to Epwin Group Plc.

I’m Justin Levine, Managing Director of TheNonExec

For the past fifteen years, my work has been very simple at heart: I help private business owners navigate the sale of their company, often the first and only sale they will ever go through.

Maybe you’ve had an approach from a competitor or an investor?

Maybe you’re thinking about succession, or simply wondering what the business is really worth and how long you want to keep doing this?

What almost every owner tells me is that this isn’t JUST about money.

What’s Next?

Of course, you want a fair price for years, often decades of hard work.

But you also care deeply about what happens to your people, your customers and the reputation of the business you’ve built.

You don’t want to be bounced into a quick deal, or to accept the first offer simply because it’s on the table.

You want to understand your options, and make a decision on your own terms.

That’s where we come in

TheNonExec is a small, specialist M&A boutique.
We only work on the sell-side, and we only work with a handful of clients at any one time.

I personally lead every project we take on.
If we work together, you won’t be handed down to a junior team once the engagement letter is signed. You get senior attention throughout, from our very first conversation until funds are in your account and the deal has completed.

Behind me, though, is a strong back-office team of corporate finance analysts and researchers.
They spend their days building financial models, analysing performance, and crucially, mapping out the buyer universe, not just obvious local trade buyers, but often national and international groups who can see strategic value that others can’t.

That combination, senior, hands-on leadership with a serious analytical and research engine behind it is what allows us to compete in the mid-cap space and to win mandates against much larger corporate finance and accounting firms.

Time and again, owners tell us they chose us because they wanted the best of both worlds:
the firepower and rigour they’d expect from a big firm, and the discretion, continuity and personal relationship they get from a boutique.

But Don’t Take My Word For It…

Below are further client experiences, although every exit journey is unique, the impact of the support we gave was consistent – emphasising the personal and supportive approach they received during the process.

In practical terms, we usually support owners in three ways.

  1. We get involved two to five years before a sale, in a light-touch advisory role, helping you quietly get the business into the best possible shape, so that when you are ready, you’re going to market from a position of strength.
  2. Or we design an exit roadmap over twelve to thirty-six months, a clear, written plan of what needs to happen and when, to achieve the sort of exit you want.
  3. And when the time is right, we run the ‘full sell-side process’:
Preparing high-quality information, identifying and approaching the right buyers, managing offers and negotiations, and then supporting you through due diligence and legal completion.

All the way through, we’re focused to protect three things: value, legacy and people.

I’m not here to tell you that you SHOULD sell, or WHEN you should sell.
That decision is YOURS, and it’s a big one.

But if you are within, say, one to five years of a possible exit, or if you’ve already had informal approaches and would value a confidential second opinion I’d be very happy to talk.

You’ll find my direct contact details below.

Whatever you decide to do, I hope this has given you a sense of who we are, how we work, and how we try to support owners like you through what is, for most people, a once-in-a-lifetime journey.

Thank you for reading.
